Practical Guides: Unlocking Mexico’s Securities Markets for SMEs 

Mexican SMEs face significant challenges in accessing capital. A MOBILIST technical assistance project has created two new guides to help SMEs access financing through the listed securities market.

Small and medium-sized enterprises (SMEs) in Mexico face significant challenges in accessing capital, limiting their ability to scale and contribute to economic growth. MOBILIST technical assistance has funded the creation of two new handbooks to enable Mexican SMEs to take full advantage of recent changes in regulation and use listed securities to access the capital they need to grow. Developed by Momentum Mexico and Basila Abogados, the Handbook on Corporate Debt Issuance in the Mexican Market and the Handbook for the Simplified Issuance of Securities in Mexico complement each other to help SMEs identify the challenges and opportunities facing securities issuers today.

This Handbook provides a practical guide for entrepreneurs looking to raise capital and address financial frictions exacerbated by information asymmetry. It also outlines key steps ranging from prospectus preparation to investor engagement and post-placement activities and highlights the role of Environmental, Social, and Governance (ESG) bonds, emphasising the growing importance of sustainable financing in Mexico’s capital markets.

Mexico’s recent Securities Market Law reform could significantly improve market access for SMEs by simplifying issuance procedures and increasing transparency. The Amendment responds to the need to provide companies with easier access to financing through the issuance of securities with a less rigorous process. 

This guide is intended to be a strategic resource for SMEs interested in understanding and adopting the Simplified Regime. Its main objective is to provide guidance on the securities issuance process in public markets, including compliance with legal and operational requirements, from pre-issuance preparation to compliance with post-issuance obligations, highlighting the benefits of the new Simplified Regime and the growth opportunities that such a model offers in an increasingly inclusive and dynamic market.
